ARM and Artisan Confirm Average Share Price Measurement Period
CAMBRIDGE, U.K. and SUNNYVALE, Calif., U.S. - Nov. 30, 2004 -- ARM Holdings plc (LSE: ARM); (Nasdaq: ARMHY) and Artisan Components, Inc. (Nasdaq: ARTI) have announced that, subject to the timing of various approvals and consents, the acquisition of Artisan by ARM is expected to become effective on December 23, 2004, following approval by the ARM shareholders and the Artisan stockholders. Subject to closing of the transaction on December 23, 2004, ARM and Artisan announce that the 20 trading day measurement period for the determination of the average share price of ARM American Depositary Shares, ARM ADSs, would include the trading days of ARM ADSs on the Nasdaq National Market for the period beginning on and including November 23, 2004 and ending on and including December 21, 2004. The average share price will equal the volume weighted average of the trading prices of ARM ADSs on the Nasdaq National Market during 10 random trading days selected from this 20 trading day period. The random trading days are to be selected by ARM and Artisan, with a representative of ARM selecting 5 of those trading days on a blind basis and a representative of Artisan selecting 5 of those trading days on a blind basis, and with each such person alternating its blind selections. This blind selection process is expected to take place at 5:00 p.m. (Pacific) on December 21, 2004. ARM and Artisan expect to issue a press release on December 22, 2004 to inform investors of the outcome of this selection process.
