ARM Holdings Appoints New Board DirectorsStrengthens management team with further appointments CAMBRIDGE, UK – Aug. 14, 2002 – ARM [(LSE:ARM); (Nasdaq:ARMHY)], the industry's leading provider of 16/32-bit embedded RISC microprocessor solutions, today announced that Mike Inglis, executive vice president, Marketing, has been appointed to the Board of ARM Holdings plc, effective immediately. "As ARM continues to invest in people who will drive the future growth in our business, I am very pleased to welcome Mike to the Board," said Warren East, CEO, ARM. "With his knowledge and understanding of our industry – and experience with two of ARM's long-standing Partners – he is already making a valuable contribution to our marketing activities." Inglis brings more than 18 years of semiconductor industry experience to ARM and most recently led the UK Communications and High Technology team at A.T. Kearney management consultants. Previously, he held senior operational and marketing posts at Motorola including division manager of the company's global smart card business and European Microprocessor Business Unit manager, with responsibility for embedded processors. Inglis has also worked in research, support, sales and design at Texas Instruments, as well as managing a merger integration when Motorola acquired its wafer fabrication plant in Edinburgh. He holds an MBA from Cranfield and a BSc (Hons) in Electrical Engineering from Birmingham University, and is also a Chartered Marketer and a Chartered Engineer. At the same time, Pete Magowan, executive vice president, Business Development and a director of the company, has stepped down from the Board and plans to leave the company shortly to work with technology start-up companies. Effective today, Pete Magowan has been appointed non-executive director of ARM 3D software Partner, Superscape [LSE: SPS] with whom ARM has worked closely over the past 12 months in developing the ARM® core-based Swerve software platform. "ARM is a great company with a world class team, which I feel privileged to have been part of," said Pete Magowan. ARM has also recently strengthened its management team with the promotion of Simon Segars, vice president, Engineering, and Jerry Ardizzone, executive vice president, Worldwide Sales, to the Board of ARM Limited. Simon Segars has been with ARM since early 1991 and has worked on most of the ARM CPU products since then. He led the development of the ARM7™ and ARM9™ Thumb® families. Currently his role focuses on the development of best engineering practices across the company as well as overseeing the product and architectural development of future ARM processors. Jerry Ardizzone has an extensive background in sales and sales management with over 19 years in the field. Prior to his current role, Ardizzone served as ARM's director of US sales and led business development. In this capacity, Ardizzone focused on OEM design win activity where he contributed to several major segment successes in imaging, wireless, networking, storage and automotive. Prior to joining ARM, Ardizzone spent 14 years in sales and management with Motorola Semiconductor. In addition, ARM has recruited Colm MacKernan as executive vice president and general counsel. MacKernan joins ARM from Psion Plc where he was corporate counsel and chief legal officer. Previously he worked in international and intellectual property law firms in the US and Japan and has substantial experience of international transactions and intellectual property, US anti-trust litigation and EU Competition law. MacKernan holds a Juris Doctor degree from Georgetown University Law Center, Washington DC, and a BA in Physics from the University of Dublin, Trinity College. He is a solicitor in England and Wales and the Republic of Ireland, and an attorney-at-law admitted to practice in New York, the District of Colombia and before US Federal Courts. "By appointing people of this calibre to the ARM executive team, we are gaining a wealth of industry experience and valuable perspective that will complement the strengths of the existing executive team," said Sir Robin Saxby, executive chairman, ARM.
